For founders and owners

Liquidity for you. Continuity for everything you built.

APSG acquires founder-owned precision machining, non-destructive testing, and special-process companies with $5M to $15M in revenue, in the US and UK. You get a fair, transparent price and equity in the group. Your team, your customers, and your standards stay.

Companies like yours sit in a buyer gap

A shop earning $5M to $15M is too small for institutional private equity and too specialized for most corporate buyers. So when it's time to step back, the usual options are poor: wind down slowly, sell to a competitor who mainly wants your backlog, or take a price built on someone else's math. APSG exists because this tier of company deserved a real buyer: one designed for it.

What a deal with APSG looks like

You see the math.

The valuation is EBITDA-based and normalized in the open. Standard addbacks for owner compensation and non-recurring items are shown line by line, so you know exactly how the number was built before you decide anything.

Your team stays.

Management continuity is the strategy, not a concession made to close. Your people, your customers, and your culture carry on through a continuity period we agree together.

You keep upside.

Consideration combines cash at close, a founder note, and equity in the platform itself. Note terms are negotiated for your situation, not pulled from a template.

Your legacy compounds.

Your company becomes part of something larger without disappearing into it. Every founder who sells to APSG is invited into the operating group, helping decide what the platform buys and builds next.

The path, step by step

  1. A conversation.

Confidential, unhurried, and free of obligation: about you, the company, and what you want next.

  2. An NDA before anything sensitive.

Your financials and customer names stay protected.

  3. A transparent valuation.

Normalized EBITDA, with every addback shown and explained.

  4. A structure for your situation.

Cash at close, a founder note with terms negotiated individually, and a stake in the platform.

  5. A continuity period we set together.

You keep leading your company inside the group, with its resources behind you.

Is APSG the right buyer for you?

It is if most of this sounds familiar:

  • Revenue between $5M and $15M, with a history of profitability. We don't buy turnarounds.
  • Family-owned or founder-operated, in the US or the UK.
  • Work we understand: precision machining and fabrication, advanced materials and additive, NDT products and services, or certified special process such as heat treating, coatings, and chemical processing.
  • Customers who stay. Long relationships, ideally with aerospace, defense, space, rail, or power programs on the books.
  • The certifications your market requires, such as AS9100, NADCAP, or ITAR registration, where applicable.
  • A team worth keeping, and a founder willing to stay through an agreed continuity period.

If that isn't your company, we'll tell you quickly and respectfully.

Questions worth asking any buyer

Continuity is the point of the model. We buy companies because of the teams that run them. Existing management stays in place for a period we agree together, and customers, culture, and relationships are preserved.

On normalized EBITDA with a disciplined multiple. Every addback is shown: owner compensation, non-recurring items, the lot. You see how the number was built, then you decide.

Neither is imposed. The continuity period is mutually agreed, and every selling founder is invited into the operating group with equity. The structure is designed so that staying is worth your while.

Nothing sensitive changes hands before a signed NDA. That includes financials, customer names, and the fact that we're talking at all.

Three specialist firms sponsor the platform: TAP Financial Partners for structuring, Wertheim & Co. for M&A, and Exchange Listing Corp. for capital markets. They're joined by the founders of acquired companies, who hold stakes in the group themselves.

Talk it through in confidence
